5. Client Obligations and Responsibilities
To enable Star Youth Media to perform Services effectively, the Client agrees to fulfill certain obligations. The Client shall provide timely access to the information, systems, personnel, and resources reasonably required for the performance of Services. This includes granting necessary access credentials, providing complete and accurate technical specifications and business requirements, designating a project liaison with appropriate authority to make decisions, and responding promptly to requests for feedback, approvals, and clarifications.
The Client is responsible for maintaining adequate backups of all data and systems prior to and during any Services engagement. Star Youth Media shall not be liable for any loss of or damage to Client data, systems, or operations except to the extent directly caused by our gross negligence or willful misconduct. The Client acknowledges that delays in providing required information or approvals may result in corresponding delays in project timelines and may incur additional costs.
The Client shall not use our website or services for any unlawful purpose or in violation of any applicable law or regulation. The Client shall not interfere with or disrupt the functioning of our website, attempt to gain unauthorized access to our systems or networks, transmit viruses or malicious code through our website or communications, or use our website to send unsolicited commercial communications. The Client is solely responsible for all content, data, and materials it provides to Star Youth Media.
6. Intellectual Property Rights
All intellectual property rights in the website, including the design, layout, text, graphics, logos, icons, software code, and all other content and materials available on https://www.staryouth.lol, are owned by or licensed to Star Youth Media and are protected by applicable copyright, trademark, and other intellectual property laws. The Star Youth Media name, logo, and all related names, marks, and symbols are trademarks of the Company. 6.1 Deliverables and Work Product
Unless otherwise agreed in writing, upon full payment of all fees owed for a Services engagement, Star Youth Media grants the Client a perpetual, non-exclusive, non-transferable license to use the Deliverables for the Client own internal business purposes. Star Youth Media retains ownership of all pre-existing intellectual property, tools, methodologies, frameworks, templates, and know-how used in the creation of Deliverables. The Company also retains the right to use general skills, knowledge, and experience gained during the engagement for other clients, provided that Confidential Information of the Client is not disclosed.
6.2 Client Materials
The Client retains ownership of all content, data, materials, and intellectual property provided to Star Youth Media in connection with a Services engagement. The Client grants Star Youth Media a limited, non-exclusive license to use such materials solely as necessary to perform the Services for the Client.
7. Confidentiality
During the course of our relationship, each party may disclose or make available to the other party information that is confidential, proprietary, or not generally known to the public. This Confidential Information may include business plans, technical specifications, trade secrets, client lists, financial data, source code, system architectures, and other non-public information, whether disclosed in writing, orally, or through other means.
Each party agrees to hold the Confidential Information of the other party in strict confidence, to use such information only for the purpose of performing obligations under these Terms or a separate Services agreement, and to not disclose such information to any third party without the prior written consent of the disclosing party. The receiving party shall use at least the same degree of care to protect the Confidential Information as it uses to protect its own confidential information of similar nature, but in no event less than reasonable care.
The obligations of confidentiality shall not apply to information that is or becomes publicly available through no breach of these Terms by the receiving party, was already in the lawful possession of the receiving party without obligation of confidentiality prior to disclosure, is independently developed by the receiving party without use of or reference to the Confidential Information, or is required to be disclosed by law, regulation, or court order, provided that the receiving party gives the disclosing party prompt notice of such requirement and cooperates in any effort to limit the scope of disclosure.
The confidentiality obligations in this section shall survive termination of these Terms and any Services agreement for a period of three years, or indefinitely with respect to trade secrets.
8. Fees and Payment Terms
The fees for Services provided by Star Youth Media shall be as set forth in the applicable statement of work, proposal, or engagement document. In the absence of a separate written agreement, fees shall be based on the Company standard rates in effect at the time Services are rendered. All fees are stated in United States Dollars unless otherwise specified.
Unless otherwise agreed, payment terms are net thirty days from the date of invoice. The Client shall pay all amounts due without deduction, set-off, or counterclaim. Late payments shall bear interest at the rate of one and one-half percent per month, or the maximum rate permitted by applicable law, whichever is less. The Client shall reimburse the Company for all reasonable costs, including legal fees, incurred in collecting overdue amounts.
In addition to fees, the Client shall reimburse the Company for reasonable out-of-pocket expenses incurred in connection with the Services, including travel, accommodation, and communication costs, provided such expenses are pre-approved in writing by the Client. The Company reserves the right to suspend or terminate Services if any payment is past due by more than thirty days, without limiting any other remedies available at law or in equity.
9. Warranties and Disclaimers
Star Youth Media warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards for computer systems design and related services. This warranty is valid for a period of thirty days following delivery of the applicable Deliverables. The Client sole and exclusive remedy for breach of this warranty shall be, at the Company option, reperformance of the non-conforming Services or a refund of fees paid for the non-conforming portion of the Services.
EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, STAR YOUTH MEDIA PROVIDES THE WEBSITE AND ALL SERVICES ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THE COMPANY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
The Client acknowledges that computer systems design involves inherent technical uncertainty and that the Company cannot guarantee specific business outcomes, performance improvements, cost savings, or other results from the implementation of its recommendations or Deliverables. The Client assumes full responsibility for all decisions made and actions taken based on the Company advice and Deliverables.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAR YOUTH MEDIA, GANSU STAR YOUTH CULTURE MEDIA CO., LTD., THEIR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, WHETHER ARISING FROM BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE AGGREGATE LIABILITY OF STAR YOUTH MEDIA FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO THE COMPANY DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN THE CASE OF WEBSITE USE WITHOUT A PAID SERVICES ENGAGEMENT, TOTAL LIABILITY SHALL BE LIMITED TO ONE HUNDRED UNITED STATES DOLLARS.
The limitations of liability set forth in this section are fundamental elements of the bargain between the parties, and the Company would not be able to provide the website or Services on the terms offered without these limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above limitations may not apply to you. In such jurisdictions, the Company liability shall be limited to the maximum extent permitted by law.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Star Youth Media, Gansu Star Youth Culture Media Co., Ltd., and their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to the Client use of the website or Services, the Client breach of these Terms or any representation, warranty, or covenant made herein, the Client violation of any applicable law, regulation, or third-party right, including intellectual property or privacy rights, or any act or omission by the Client in connection with the subject matter of these Terms.
The Company shall provide prompt notice of any such claim and shall have the right, at its own expense, to participate in the defense and settlement of any claim with counsel of its own choosing. The Client shall not settle any claim that imposes liability or obligation on the Company without the Company prior written consent. This indemnification obligation shall survive termination of these Terms and the Client relationship with the Company.
12. Termination and Suspension
These Terms shall remain in effect until terminated as provided herein. Star Youth Media may terminate or suspend the Client access to the website or Services at any time, with or without cause, and without prior notice or liability, if the Client breaches any provision of these Terms, if required to do so by law or regulatory authority, if the Client engages in conduct that the Company reasonably believes is harmful to its interests or the interests of other clients, or if the Company ceases to offer the relevant Services.
The Client may terminate a Services engagement by providing written notice to the Company in accordance with the termination provisions set forth in the applicable statement of work or engagement document. In the absence of a separate agreement, the Client may terminate Services by providing thirty days written notice. Upon termination, the Client shall pay all fees and expenses accrued through the effective date of termination.
Upon termination, all rights and licenses granted to the Client under these Terms shall immediately cease, and the Client shall cease all use of the website and any Deliverables for which full payment has not been received. The provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 7, 9, 10, 11, 14, 15, and 17.
13. Force Majeure
Neither party shall be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government orders or regulations, epidemic or pandemic, labor disputes, failures of telecommunications or Internet infrastructure, power outages, or similar events beyond the reasonable control of the affected party. This provision does not excuse the Client obligation to pay fees for Services already rendered.
The party affected by a Force Majeure Event shall promptly notify the other party of the nature and anticipated duration of the event and shall use commercially reasonable efforts to mitigate the effects and resume performance as soon as practicable. If a Force Majeure Event continues for more than thirty days, either party may terminate the affected Services engagement without liability, provided that the Client shall pay for all Services rendered prior to the Force Majeure Event.
14. Dispute Resolution
Star Youth Media values its relationships with clients and is committed to resolving disputes in a fair and efficient manner. In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the website, or the Services, the parties agree to first attempt to resolve the matter through informal negotiation. The party raising a dispute shall provide written notice to the other party describing the nature of the dispute and the relief sought. The parties shall then engage in good faith negotiations for a period of at least thirty days.
If the dispute is not resolved through informal negotiation within thirty days, either party may pursue any remedies available at law or in equity. The parties agree that any legal action arising out of or relating to these Terms shall be brought exclusively in the courts of competent jurisdiction in Lanzhou, Gansu Province, China, and each party irrevocably submits to the personal jurisdiction of such courts and waives any objection based on improper venue or forum non conveniens.
Notwithstanding the foregoing, Star Youth Media may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, Confidential Information, or other legitimate business interests without first engaging in the informal negotiation process described above. Each party agrees to bring any claim against the other party solely in its individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.
15. Governing Law
These Terms of Service and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the People Republic of China, without giving effect to any choice of law or conflict of law principles that would result in the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms or any Services engagement.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent of the parties to the maximum extent possible. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
16. Modifications to Terms
Star Youth Media reserves the right to modify, amend, or replace these Terms of Service at any time at its sole discretion. 17.2 Assignment
The Client may not assign or transfer any rights or obligations under these Terms without the prior written consent of Star Youth Media. The Company may assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.
17.3 Waiver and Severability
No waiver of any provision of these Terms shall be effective unless made in writing and signed by the waiving party. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in effect.
17.4 Relationship of the Parties
The relationship between Star Youth Media and the Client is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. Neither party has the authority to bind the other or incur obligations on the other behalf without prior written consent.
17.5 Notices
All notices required or permitted under these Terms shall be in writing and delivered by email or certified mail. Notices to Star Youth Media shall be sent to info@staryouth.lol or to the registered address in Lanzhou. Notices to the Client shall be sent to the email or physical address provided by the Client.
17.6 Third-Party Beneficiaries
These Terms are for the sole benefit of the parties hereto and their permitted successors and assigns. Nothing in these Terms, express or implied, is intended to confer upon any third party any rights or remedies under or by reason of these Terms.
